|Corporate governance and narrative reporting developments
||This session will consider the latest corporate governance proposals and also look at market practice and developments in certain areas of narrative reporting, including the Modern Slavery Act, the EU Non-Financial Reporting Directive and ESG reporting generally.
|Lessons from the 2017 AGM season and a look forward to new developments
||This session will review developments in the 2017 AGM season and highlight matters in-house legal and company secretarial teams will need to bear in mind in preparing for the next AGM. It will also consider issues relating to the holding of virtual (or electronic) meetings which may or may not become more common in the future.
|Market developments update – MAR, share plans and executive remuneration
||With the Market Abuse Regulation (MAR) having come into effect in July 2016, this session will look at MAR one year on and highlight practical issues surrounding its implementation. It will also consider current market practice and developments (including proposals for reform) in relation to share plans and executive remuneration.
|Taking difficult corporate decisions – lessons to be learned and best practice
||In making decisions, directors always need to be aware of their statutory and common law duties. This session will consider the implications for corporate decision-making, including the impact on processes and procedures that need to be in place to protect directors from adverse claims, whether from shareholders or activist investors.
