Global law firm Norton Rose Fulbright has advised APICIL Group on the acquisition of 100 per cent of the shares of The OneLife Holding SARL Luxembourg from the fund JC Flowers & Co. This operation is subject to approval by the Luxembourg and French supervisory authorities.

Created in Lyon in 1938, the APICIL Group is France’s fourth-largest social protection group with turnover of €2.4 billion in 2017. The Group’s 2,144 employees lend their expertise each day to the more than 46,000 companies and 2.2 million policyholders.

OneLife is an independent company specialising in asset and wealth management solutions. Headquartered in Capellen, Luxembourg, and boasting more than 25 years of experience, OneLife’s 145 employees serve more than 31,000 insured individuals, with written premiums of €506m and assets of €5.2bn.

The APICIL Group has been on the Luxembourg life-insurance market for four years through its subsidiary APICIL Life and is continuing to internationalise its savings division. OneLife is the perfect complement to the Luxembourg ensemble, “for it serves as a vector to bring to fruition one of the key intentions of the Group “Défis 2020” (Challenges 2020) strategic plan: to develop, from Luxembourg, through the freedom to provide services, personalised asset- and wealth-management solutions on a European level,” according to Philippe Barret, CEO of the APICIL Group.

Bénédicte Denis, Head of Paris Corporate and Financial Institutions practices comments: “We are delighted to have assisted APICIL on this new strategic acquisition in Europe, the third transaction on which we provided our support since 2014 and thank the APICIL Group for its trust.”

The team was led partner Bénédicte Denis assisted by Alann Le Guillou and Orsolya Hegedus, Of Counsel. Teams in Luxembourg and London also provided assistance.
